Organizer Terms and Conditions

Silent Book Club Organizers agree to the following terms, conditions, and guidelines to be considered an active chapter and participate in the Silent Book Club organization. An Organizer is a host or co-host of a chapter location or meetup. 

YOU AGREE: 

  • that your participation as a local organizer with Silent Book Club is completely voluntary; you are not an employee of Silent Book Club LLC (hereafter “Silent Book Club.”)
  • that you as an organizer can end your role at any time; and Silent Book Club can remove you at any time 
  • to keep your contact information with Silent Book Club up to date, including an email address for outreach 
  • to follow Guidelines set forth by Silent Book Club below; any updates will be communicated with the email address you provide as contact 
  • to let Silent Book Club use the information you provide to it in accordance with the Privacy Policy, and any program you opt in to (e.g., publisher giveaways)
  • that you are not entitled to any compensation, options, rights, or benefits accorded to Silent Book Club founders; you waive any right to them 
  • that if you step down as Organizer, you relinquish control of any social media accounts started for your group (e.g., Instagram account, Twitter, Facebook page/group, Meetup etc) by transferring ownership and logins to Silent Book Club or shutting down said accounts
  • to the terms of the Liability Waiver below

 

YOU AGREE NOT TO: 

  • violate the terms of this document, subjecting your role as Organizer to suspension or termination at the discretion of Silent Book Club
  • make untrue statements about your relationship with Silent Book Club, the elements or background of Silent Book Club, or misrepresent your role as a local organizer 
  • make statements that are misleading, defamatory, infringing, libelous, disparaging, obscene, or otherwise objectionable to Silent Book Club. Silent Book Club reserves the right to determine the threshold for these limitations on a case-by-case basis  
  • make statements on behalf of Silent Book Club, other than as the organizer of your local chapter, or enter any contract or obligation on behalf of or in the name of Silent Book Club 
  • claim to be an active member or organizer of Silent Book Club if you are no longer participating in Silent Book Club 
  • directly solicit or promote the sale of any products or services at its Meetings, online, or otherwise without the express written permission of Silent Book Club

 

GUIDELINES

Below are Guidelines between Silent Book Club and any local chapter Organizer:

Naming and rights 

Silent Book Club grants the Organizer the exclusive right and license in the Territory to host meetings using the name Silent Book Club [location], including on social media, emails, print outs, and other promotional material in order to market and promote your chapter and events. Silent Book Club® is a registered trademark of Silent Book Club LLC (U.S. Patent and Trademark Office reg no. 5798692). 

Branding 

Silent Book Club grants the Organizer the right to use the trademarks “Silent Book Club,” logos, and other intellectual property while you are an Organizer. Any adjustments made to branding must be authorized by Silent Book Club via email. 

Support and promotion 

For active chapters and Organizers, Silent Book Club will provide promotional material like bookmarks, table tents, and logos; these may be provided via digital transfer. Silent Book Club does not provide monetary support or paid advertising for chapter Meetings. Organizer is responsible for any hosting expenses, and while you may charge to cover costs of rentals, refreshments, and additional costs, you may not directly profit from activities as an Organizer. 

Organizer status 

To remain in good stead, listed on the website and in communications, Silent Book Club requests that Organizers host a minimum of six Meetings per year. An exception is available for Meetings that are part of one-time, or annual events (e.g., festivals, conferences). 

Silent Book Club will help market your Meetings from the website and social channels as long as the Meetings have the following elements:

  • follow the naming and branding guidelines outlined above 
  • are unrestricted and available to the public
  • include an online location with time and meeting details, for attendees to RSVP
  • are submitted via the online form on our website

  • Opportunities

    As an Organizer, you can opt into opportunities to participate in press, promotion, and giveaways that may come up with Silent Book Club. These opportunities will be based on requests from publications, publishers, authors, or their agents. Silent Book Club does not guarantee participation in any of these opportunities. 

    LIABILITY WAIVER 

    Indemnification. Organizer shall save hold SBC harmless from and against, and shall indemnify SBC for, any liability, loss, costs, expenses, or damages howsoever caused by reason of any injury (whether to body, property, or personal or business character or reputation) sustained by any person or to any person or to property by reason of any act, neglect, default, or omission of Organizer or any of Organizer’s agents, independent contractors, employees, or other representatives. If SBC is sued in any court for damages by reason of any of the acts of Organizer referred to in this Section, Organizer must defend the action (or cause a defense to be provided) at Organizer’s own expense and must pay and discharge any judgment that may be rendered in the action. If Organizer fails or neglects to defend the action, SBC may defend the action, and any expenses, including reasonable attorney's fees, which it may pay or incur in defending the action, and the amount of any judgment that it may be required to pay, must be promptly reimbursed upon demand. Nothing in this Section is intended to relieve, nor shall it relieve, either Party from liability for the Party’s own act, omission, or negligence.

    Liability Insurance. Organizer shall include SBC as a named insured on its policy. Organizer agrees to indemnify and hold SBC free and harmless from any and all claims arising from any negligent acts or omissions committed by Organizer or Organizer's employees or agents. SBC affirms that it carries general business liability insurance, however, both parties acknowledge that SBC shall have no obligation to insure Organizer or its employees or agents. 

    Limitation of Liability. EXCEPT AS SET FORTH HEREIN, NEITHER PARTY MAKES ANY REPRESENTATIONS AND EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND (WHETHER EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, SBC’S MAXIMUM AGGREGATE LIABILITY IN CONNECTION WITH OR ARISING FROM THIS AGREEMENT SHALL NOT EXCEED ONE THOUSAND DOLLARS ($1,000), REGARDLESS OF THE LEGAL THEORY UPON WHICH SUCH LIABILITY IS BASED, WHETHER IN CONTRACT, TORT, EQUITY OR OTHERWISE, AND WHETHER FOR DIRECT DAMAGES OR INDIRECT DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, OR SPECIAL, INCIDENTAL, CONSEQUENTIAL, COMPENSATORY OR PUNITIVE DAMAGES.
